Imagine a director buys $2 million of their company's stock — a clear conviction signal. Now imagine that, in the background, the company is steadily issuing new shares to fund itself. The insider's vote of confidence can be quietly cancelled out. This is why dilution belongs in any serious read of an insider buy.
When a company issues new shares, the total count of shares outstanding rises. Each existing share now represents a smaller slice of the same business — a smaller claim on earnings and assets. Persistent dilution is a headwind that an insider purchase, however genuine, does not offset.
Two habits protect you. First, track the shares-outstanding trend over recent quarters — a steadily rising count is a red flag. Second, scan recent SEC filings for 424B prospectus supplements and S-3 shelves, which reveal active or pending issuance. A clean insider signal on a company that is quietly diluting is far less attractive than the buy alone suggests.
Insider buying and dilution pull in opposite directions. The strongest setups combine conviction buying with a stable share count and no active issuance. Checking both is what separates a careful read from a naïve one.
